Constitution

Article 1
Name
The name of this organization is Youth Empowerment Arts Education Association - Y E A E A

Article 2
Purpose
Harnessing Optimism and Potential through Education for youth empowerment with the aim of developing, educating and creating awareness through arts, culture, social issues and events to breakdown mental boarders and change their mindsets.

Article 3
Membership
a) This association is open to all.
b) This organization shall not discriminate against any person on the basis of race, color, religion, sex, political opinion or affiliation.

Article 4
Community responsibility
All members recognize that they are part of Youth Empowerment Arts Education Association and as such, they are subject to the rules and regulation set forth in this constitution. As members of this organization, you represent the organization at any time the organization is involved in official and informal organizational functions and members agree to do so in a responsible manner.

Article 5
Funding
The organization has a Finance and accouting Director designated as the party responsible for finance. All money raised through donation, dues or fundraising are acknowledged as Y.E.A.E.A. funds and will be maintain in Y.E.A.E.A. bank account. No money associated with this organization will be held in another account other than the Y.E.A.E.A. bank account.

Article 6
Officers
The officers of this organization shall be the Director, Deputy Director, Finance and Accouting Director, Marketing and Communication Director, Events and workshops Director, Press&Media Relations Officer, Secretary general.

Article 7
Election
Section 1: Members in good standing shall compromise the electorate. Each member shall be entitled to vote as with good track record.

Section 2: Members in good standing shall be entitled to nominate a member with credible experience and those nominated members will be screened by the board members of Y.E.A.E.A.. for eligibility.

Section 3: Election shall be held annually.

Section 4: All members must be registered members of Y.E.A.E.A

Article 8
Duties of officers

Section 1: Duties and responsibility of the Director.
a) Be the chief executive of the organization
b) Preside over meetings of the organization
c) Serve as the liaison between the organization and the secretary general and the advisory board.
d) Call special meetings of the organization
e) Meetings every financial quarter for directors. (3months)
f) Take care that this constitution and the laws of the organization are faithfully executed
g) Perform any administrative power or duty not provided for in this constitution.

Section 2: Duties and responsibility of the Deputy Director
a) Execute directorial duties in his or her absence
b) Assume acting capacity of the directorial office upon vacancy
c) Appoint staff aides as deemed necessary
d) Make sure event registration forms and program reports forms are completed
e) Meet every financial quarter with the board of directors as per needed.

Section 3: Duties and responsibility of the Events&Workshops Director
a) Preparing of the events and workshops
b) Following up on events and workshops
c) Managing operations about events and workshops
d) Producing reports on events and workshops, annualy

Section 4: Duties and responsibility of the Press&Media Relations Officer (Under the marketing and communication department)
a) Represents the work of Y.E.A.E.A., acting as the point of contact for members of the press and other media representatitives.
b) Responsible for maintaining the image of Y.E.A.E, gaining publicity and disseminating information to members of the press or other media representatives.
c) Be the face and uphold the image of Y.E.A.E.A., liaising with the media, organising meetings and developing press contact.

Section 5: Duties and responsibility of the Secretary
a) Take minutes at the organization meetings
b) Maintain complete and accurate records of all organization meetings
c) Report to the Director
d) Represent the organization when tasked to do so
e) Maintain administrational responsibility in the organization

Section 6: Duties and responsibility of the Finance&Accounting Director
a) Keep complete and accurate account of the organization funds
b) Sign requisition for the organization funds
c) Prepare the annual budget request packet with the Directorial office
d) Report to the Director
e) Manage the budget outline for the following year and ensure the organization stays on budget.
d) work end of the year with our Auditor to validate our accounting

Section 7: Duties of the Marketing&Communication Director
a) Responsible for marketing activities in the organization
b) Lead brand management and marketing communications
c) Market research
d) Sales Management
e) Distribution channel management
f) Interviewing of potential clients of potential sponsors
g) Arranging and coordinating vendors



Article 9
Vacancy of office
Section 1: In the event that the Director position becomes vacant, such vacancy will be filled by the Deputy Director in the acting capacity pending general voting.
Section 2: In the event that the position of the Director, Deputy Director, Events&workshops Director, Finance&accounting Director, Secretary General, Press&Media Relations Officer, Marketing & Communication Director becomes vacant the board of directors will appoint an acting pending general voting.
Section 3: In the event of a Tie in the voting for vacant office, final decision will be handed over to the board of directors.

Article 10
Impeachment
Section 1: Person who may be impeached- the Director, Deputy Director, Events&workshops Director, Finance&accounting Director, Secretary General, Press&Media Relations Officer, Marketing & Communication Director for abuse of power or conviction of criminal offense while in office.
Section 2: The Executive members by (2/3) majority vote can expel any general member of the organization for the following
a) Inciting tribal feuds
b) Inciting xenophobic feuds
c) Malfeasance in office
d) Corruption within the organization.

Article 11
Board of Directors
Section 1: This organization will have at least three (3) members from the main body Y.E.A.E.A. to serve as advisors.
1. Requirements Qualified professionals from different professions
2. Nominations Y.E.A.E.A. members nominate BOD
3. Elections Y.E.A.E.A. members vote BOD. To take place every three years
Section 2: Duties responsibility of the advisors
a) Be available to all members for consultation for advice, counsel and as a resource
b) Meet every financial quarter with the Director as per needed
c) Be familiar with the organization rules and constitution
d) Attend organization meeting as per needed
e) Perform eligibility checks on all officers and members, and inform ineligible member of the status
f) Keep open lines of communication with organization on matter of concern regarding the organization.

Article 12
Amendments
Section 1: After deliberation of proposed amendments it shall be tabled until the next meeting at which time it will be brought up for votes. A 2/3 majority will be required to pass amendments.
Section 2: Any and all amendments will be approved by the executive members of Y.E.A.E.A..
Section 3: Any amendments will be added following article 12. If there is a change of earlier articles, they will supersede the previous condition. There is no need to continually change the document.

Article 13
Affiliation
Namibia Youth Arts Festival and the Grass Roots Slam are currently operating under the main body of Youth Empowerment .Arts Education Association.

Article 14
Miscellaneous
The provisions of this constitution are governed by Y.E.A.E.A. as well as the Namibian constitution.
